1. Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you and Clear Echo Labs ("Company," "we," "our," or "us") regarding your access to and use of the ClassDue mobile application and any related services (collectively, the "Service").
By accessing or using the Service, you acknowledge that you have read, understood, and agree to be bound by these Terms, as well as our Privacy Policy, which is incorporated herein by reference.
2. Eligibility
To use the Service, you must:
- Be at least 13 years of age (or the minimum age required in your jurisdiction)
- Have the legal capacity to enter into a binding agreement
- Not be barred from using the Service under applicable law
If you are under 18 years of age, you represent that your parent or legal guardian has reviewed and agreed to these Terms on your behalf.
3. Account Registration
To access certain features of the Service, you may be required to create an account. When creating an account, you agree to:
- Provide accurate, current, and complete information
- Maintain and promptly update your account information
- Keep your password secure and confidential
- Accept responsibility for all activities that occur under your account
- Notify us immediately of any unauthorized use of your account
We reserve the right to suspend or terminate your account if any information provided is found to be inaccurate, false, or in violation of these Terms.
4. Use of the Service
4.1 License Grant
Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to download, install, and use the Service for your personal, non-commercial use on devices that you own or control.
4.2 Restrictions
You agree not to:
- Copy, modify, or distribute the Service or any content within it
- Reverse engineer, decompile, or disassemble the Service
- Use the Service for any illegal or unauthorized purpose
- Interfere with or disrupt the Service or servers connected to it
- Attempt to gain unauthorized access to any portion of the Service
- Use automated systems or software to extract data from the Service
- Impersonate any person or entity or misrepresent your affiliation
- Upload or transmit viruses, malware, or other malicious code
- Harass, abuse, or harm other users of the Service
5. User Content
The Service allows you to input, upload, and store content such as class information, assignments, grades, and notes ("User Content"). You retain ownership of your User Content and are solely responsible for it.
By submitting User Content, you grant us a worldwide, non-exclusive, royalty-free license to use, store, and process such content solely for the purpose of providing and improving the Service.
You represent and warrant that your User Content does not violate any third-party rights or applicable laws.
6. Subscriptions and Payments
6.1 Premium Features
ClassDue offers certain premium features through paid subscription plans ("Premium"). By subscribing to Premium, you agree to pay the applicable fees as displayed at the time of purchase.
6.2 Billing
Subscriptions are billed in advance on a recurring basis (monthly or annually, depending on your selection). Your subscription will automatically renew unless you cancel it before the end of the current billing period.
6.3 Cancellation
You may cancel your subscription at any time through your app store account settings (Apple App Store or Google Play Store). Cancellation will take effect at the end of the current billing period, and you will retain access to Premium features until then.
6.4 Refunds
Refunds are handled in accordance with the policies of the app store through which you made your purchase. We do not directly process refunds for subscription payments.
Note: Prices for Premium subscriptions are subject to change. We will provide notice of any price changes before they take effect.
7. Intellectual Property
The Service and its original content, features, and functionality are owned by Clear Echo Labs and are protected by copyright, trademark, and other intellectual property laws.
The ClassDue name, logo, and all related names, logos, product and service names, designs, and slogans are trademarks of Clear Echo Labs. You may not use such marks without our prior written permission.
8. Third-Party Services
The Service may contain links to or integrate with third-party websites, services, or content that are not owned or controlled by us. We are not responsible for the content, privacy policies, or practices of any third-party services.
Your interactions with third-party services are governed by their respective terms and policies.
9. Disclaimers
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
We do not warrant that:
- The Service will be uninterrupted, secure, or error-free
- The results obtained from the Service will be accurate or reliable
- Any errors in the Service will be corrected
ClassDue is an organizational tool and is not intended to replace academic advising, official grade records, or institutional systems.
10. Limitation of Liability
TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT SHALL CLEAR ECHO LABS, ITS DIRECTORS, EMPLOYEES, PARTNERS, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING WITHOUT LIMITATION LOSS OF PROFITS, DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES, RESULTING FROM:
- Your access to or use of (or inability to access or use) the Service
- Any conduct or content of any third party on the Service
- Any content obtained from the Service
- Unauthorized access, use, or alteration of your transmissions or content
Our total liability for any claims arising from or relating to the Service shall not exceed the amount you paid us, if any, in the past twelve (12) months.
11. Indemnification
You agree to indemnify, defend, and hold harmless Clear Echo Labs and its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses arising from:
- Your use of the Service
- Your violation of these Terms
- Your violation of any third-party rights
- Your User Content
12. Termination
We may terminate or suspend your account and access to the Service immediately, without prior notice or liability, for any reason, including without limitation if you breach these Terms.
Upon termination, your right to use the Service will immediately cease. Provisions of these Terms that by their nature should survive termination shall survive, including ownership provisions, warranty disclaimers, indemnification, and limitations of liability.
13. Governing Law
These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions.
Any disputes arising from these Terms or the Service shall be resolved exclusively in the state or federal courts located in Delaware.
14. Changes to Terms
We reserve the right to modify or replace these Terms at any time at our sole discretion. If a revision is material, we will provide at least 30 days' notice prior to any new terms taking effect.
Your continued use of the Service after any changes to the Terms constitutes acceptance of those changes.
15. Severability
If any provision of these Terms is held to be invalid or unenforceable, such provision shall be struck and the remaining provisions shall be enforced to the fullest extent under law.
